1. Incorporation, changes, and liquidation of companies
I provide legal advice on the establishment of new companies, including the selection of a suitable legal form, preparation of incorporation documents and registration in the Commercial Register, securing business licenses for the company’s business, assistance with ensuring the company’s registered office and consultation on the method of depositing the company’s share capital.
I also arrange for changes in the company’s structure, such as increases in share capital, changes in executive powers, amendments to articles of association/company agreements or articles of incorporation, transfers of business shares and stock, and registration in the Commercial Register.
It is also possible to contact me in matters related to the potential liquidation of the company.
2. Contractual agenda
I draft, revise, and negotiate commercial contracts of all types, such as purchase agreements, work contracts, license agreements, lease agreements, and others. My goal is to ensure that contracts best protect my client’s interests and minimize the risks associated with their business, including the selection of appropriate collateral for the obligation.
3. Mergers & Acquisitions
I offer comprehensive legal support in mergers and acquisitions, from due diligence through contract drafting and negotiation to closing the transaction. Our services also include advising on the restructuring of companies and their shareholdings.
4. Dispute Resolution
I represent clients in commercial disputes before the courts and in arbitration proceedings. We strive to achieve a quick and efficient resolution of conflicts that will disrupt the normal course of our client’s business as little as possible. I also offer mediation and other alternative dispute resolution methods in cooperation with experts in this field.
5. Compliance and Regulatory Advisory
I help clients comply with all laws and regulations relating to their business. We conduct internal audits and employee training to ensure full compliance with applicable legal standards.
6. Debt collection
In cooperation with my clients, I also deal with the recovery of claims from commercial relations, both in court and out of court in the Czech Republic and abroad.
7. Insolvency proceedings
On behalf of my clients, I prepare the filing of petitions for the commencement of insolvency proceedings and the filing of claims; I offer consultations and representation in the resolution of insolvency proceedings in the form of debt relief (“personal bankruptcy”).
8. Promissory notes
I execute promissory notes for my clients and file and enforce claims on promissory notes.
